KMR TAX CONSULTANTS

Subscription Services – Terms & Conditions

1. Scope of Services

KMR Tax Consultants (“KMR”) agrees to provide the accounting, bookkeeping, payroll, tax advisory, financial review, or other professional services specifically outlined in the accepted subscription quote.

Services, meeting frequency, deliverables, and included features will be determined by the subscription package selected. Services not expressly included in the subscription may be subject to additional fees.

2. Subscription Fees & Payment Authorization

The client agrees to pay the subscription amount and any applicable onboarding or setup fees outlined in the accepted quote.

Recurring payments will be processed through the client's authorized payment method on the agreed billing date. The client is responsible for maintaining valid payment information.

Unless otherwise stated in the accepted quote, subscriptions continue monthly until canceled under the terms below. Any minimum commitment or annual service agreement must be expressly identified in the quote.

3. Onboarding, Financial Cleanup & Additional Fees

Subscription pricing is based on the anticipated condition and volume of the client's financial records and the services initially agreed upon.

During onboarding, or after onboarding has been completed, KMR may identify significant financial cleanup, including unreconciled accounts, historical bookkeeping errors, improperly categorized transactions, missing records, outstanding prior-period adjustments, or other substantial accounting deficiencies.

Such cleanup is not automatically included in the standard subscription fee.

Where additional work is necessary, KMR will communicate the required services and associated costs to the client. Upon written client approval, the additional cleanup cost may be distributed across the remaining subscription payments or another mutually agreed installment schedule, rather than requiring one immediate payment.

The client will receive an updated breakdown showing the additional cost, adjusted subscription payment, and payment schedule.

If the subscription ends before approved cleanup costs have been fully paid, any remaining balance for cleanup services already performed remains payable. Charges will not be imposed for additional cleanup work that has not been authorized.

4. Client Responsibilities & Timely Documentation

The client agrees to provide complete, accurate financial records, necessary system access, and requested documentation in a timely manner.

For applicable monthly bookkeeping services, financial records should be available by the 7th day of the following month unless otherwise agreed.

Delays, missing documentation, or inaccurate records may affect completion timelines and may result in additional charges where separately approved.

5. Financial Reviews & Consultations

Reviews and consultations will be provided according to the frequency and scope of the selected subscription.

Additional meetings, specialized advisory work, extensive corrections, or services outside the agreed subscription may require separate fees.

Bookkeeping reviews do not constitute a financial audit, independent verification, or assurance engagement unless expressly contracted.

6. Late Payments & Service Suspension

Payments outstanding for more than 15 days may result in suspension of services following notice to the client.

Services may resume once outstanding balances have been satisfied and payment arrangements restored.

KMR is not responsible for processing delays resulting from nonpayment, suspension, or the client's failure to supply required information.

7. Cancellation & Termination

The client may cancel the subscription by providing at least 30 days' written notice.

Monthly subscription payments are nonrefundable for service periods already billed, except where required by law. Overpayments will be credited or refunded.

The client remains responsible for services rendered through the effective cancellation date, unpaid invoices, and any outstanding approved cleanup costs for work already performed.

Either party may terminate the engagement by written notice, subject to the agreed payment obligations and any applicable minimum service term.

8. Confidentiality & Professional Responsibility

KMR will maintain the confidentiality of client information, subject to disclosures necessary to perform authorized services or comply with applicable law.

KMR relies on financial information supplied by the client and does not guarantee specific tax savings, financial outcomes, or the accuracy of records prepared by third parties.

KMR is not responsible for consequences arising from incomplete or inaccurate client-provided information, except to the extent attributable to KMR's own misconduct or negligence under applicable law.

9. Changes to Services & Pricing

Changes in business activity, transaction volume, staffing, account complexity, or requested services may require a subscription adjustment.

Any material increase in subscription pricing or addition of paid services will be communicated for client approval before implementation.

10. Agreement & Acceptance

The accepted quote, these Terms & Conditions, and any applicable signed engagement letter constitute the agreement for the selected services. The governing law and any additional engagement requirements shall be established in the applicable engagement documentation.

By accepting the subscription quote and authorizing payment, the client acknowledges and agrees to these Terms & Conditions.
